Terms of Service

1. Agreement and authority

These Terms of Service (the “Terms”) are a binding agreement between you and Pro Car Finder (“Pro Car Finder,” “we,” “us,” or “our”). By creating an account, accepting an order form, using the services, or accessing a website that links to these Terms, you agree to them. If you use the services for a dealership or other organization, you represent that you are authorized to bind that organization. If you do not agree, do not use the services.

Customer-specific order forms, services agreements, addenda, and written promotions are incorporated into these Terms. If they conflict, the signed customer-specific document controls for that customer.

2. Services

Pro Car Finder provides inventory import and management, user-controlled listing preparation, public vehicle-search pages, customer inquiry routing, reporting, CRM delivery, AI-assisted response drafting, account administration, and related onboarding or support. Features depend on the customer’s selected plan and configuration. We may improve or replace features while preserving the material functionality of a paid service.

3. Accounts and permitted use

You must provide accurate information, keep credentials and connector keys secure, promptly remove access for former personnel, and notify us of suspected unauthorized use. You may use the services only for lawful dealership and automotive-sales activities. You may not probe security, bypass access controls, scrape or copy third-party data without permission, interfere with service operation, upload malware, impersonate another person, or use the services to violate advertising, privacy, intellectual-property, consumer-protection, anti-spam, or platform rules.

4. Dealership content and vehicle listings

The customer and its authorized users select, submit, import, edit, approve, and publish dealership content, including vehicle details, prices, availability, mileage, photos, videos, disclosures, and contact information. The customer represents that it has the right to use that content and grants Pro Car Finder a nonexclusive, worldwide, royalty-free license to host, format, reproduce, and display it solely to provide, secure, promote, and support the services.

The dealership—not Pro Car Finder—is the seller and is solely responsible for the accuracy, legality, availability, pricing, condition, warranties, advertising disclosures, and fulfillment of every vehicle listing. Pro Car Finder does not own, inspect, sell, finance, or warrant listed vehicles. Shoppers must confirm all material information directly with the dealership before relying on a listing or completing a transaction.

5. Third-party platforms and integrations

Square, SignWell, Resend, Cloudflare, OpenAI, Google, Chrome, Facebook, dealership websites, CRMs, and other third-party services have separate terms and practices. Pro Car Finder is not affiliated with or endorsed by Facebook Marketplace, Meta, Google, Autotrader, or Cars.com unless expressly stated. The browser extension prepares information for review; the user controls the final publication action. You must maintain authority to access connected inventory sources and comply with each third party’s rules. We are not responsible for third-party outages, account decisions, content removals, or policy changes.

6. AI-assisted features

AI features may generate suggested replies, summaries, or vehicle-related text. Output can be incomplete or incorrect and is not a substitute for human judgment. An authorized user must review, edit, and approve output before using or sending it. Do not submit passwords, payment-card data, government identifiers, or information you are not authorized to process. You remain responsible for communications and decisions made using AI-assisted output.

7. Fees, subscriptions, and payment authorization

Prices, setup fees, subscription frequency, included usage, discounts, and any temporary access period appear in the applicable order form or checkout. Unless expressly stated otherwise, prices are in U.S. dollars and exclude applicable taxes. The standard billing cycle is every 30 days. By completing Square’s hosted checkout and authorizing recurring billing, you authorize Square and Pro Car Finder to charge the payment method on file for disclosed setup fees, recurring fees, taxes, and approved adjustments until cancellation becomes effective.

Square processes payment-card information. Pro Car Finder does not receive or store your full card number. You must maintain a valid payment method. An amount that remains unpaid for 30 days after its due date may incur a late charge equal to 1% of the unpaid amount. An additional 1% simple late charge may be assessed for each completed 30-day period the amount remains unpaid, without compounding and never above the maximum permitted by applicable law. Partial payments reduce the balance used for future late-charge calculations. Failed or overdue payments may also result in retry attempts, restricted access, suspension, or termination after any required notice. See the Refund and Cancellation Policy.

8. Cancellation and refunds

Unless a signed order form states different terms, paid subscriptions require 30 days’ written notice to cancel. Send notice from an authorized account contact to support@procarfinder.com or to our mailing address. Recurring subscription charges continue every 30 days until cancellation becomes effective. A cancellation request stops future renewal only as of its confirmed effective date; it does not erase charges, late charges, or other amounts accrued before that date. Setup fees and charges for services already delivered are generally nonrefundable; refunds required by law or approved for duplicate, unauthorized, or material billing errors are not excluded. 9. Suspension and termination

We may suspend or terminate access for nonpayment, fraud, security risk, material breach, unlawful conduct, misuse of integrations, or conduct that threatens customers or the service. When reasonably practicable, we will provide notice and an opportunity to cure. Sections that by their nature should survive—including payment obligations, intellectual property, disclaimers, limitations, and indemnity—survive termination.

10. Intellectual property and feedback

Pro Car Finder and its licensors retain all rights in the software, designs, documentation, trademarks, and services, excluding customer content. Except for the limited right to use the services under these Terms, no rights are transferred. If you provide feedback, you grant us the right to use it without restriction or compensation, provided we do not identify you publicly without permission.

11. Privacy and confidentiality

Our Privacy Policy explains how we handle personal information. Each party will use reasonable care to protect the other party’s nonpublic confidential information and will use it only to perform or receive the services, except where disclosure is authorized or legally required.

12. Disclaimers

To the fullest extent permitted by law, the services are provided “as is” and “as available.” Pro Car Finder disclaims implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement. We do not guarantee uninterrupted operation, sales results, lead volume, marketplace acceptance, vehicle accuracy, or continued availability of a third-party integration. Nothing in these Terms limits warranties or rights that cannot lawfully be disclaimed.

13. Limitation of liability

To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or lost profits, revenue, goodwill, or data, arising from the services. Pro Car Finder’s aggregate liability arising from the services will not exceed the fees the customer paid Pro Car Finder for the affected services during the 12 months before the event giving rise to the claim. These limits do not apply where prohibited by law and do not limit liability for fraud, willful misconduct, infringement, breach of confidentiality, or unpaid fees.

14. Customer indemnity

To the extent permitted by law, the customer will defend and indemnify Pro Car Finder and its personnel against third-party claims arising from customer content, vehicle advertising, the customer’s sale or financing of a vehicle, unlawful communications, misuse of the services, or violation of another party’s rights, except to the extent caused by Pro Car Finder’s own breach, negligence, or willful misconduct.

15. Governing law and disputes

Washington law governs these Terms without regard to conflict-of-law rules. State and federal courts located in Yakima County, Washington, have exclusive jurisdiction, and the parties consent to venue there. Before filing a claim, each party will provide written notice and make a good-faith effort for at least 30 days to resolve the dispute informally. This section does not prevent either party from seeking urgent injunctive relief.

16. Changes and general terms

We may update these Terms by posting a new effective date. We will provide additional notice of material changes when required. Changes do not retroactively alter an existing signed order form. If a provision is unenforceable, the remaining provisions continue. Failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent, except in connection with a merger or sale of substantially all assets; we may assign them as part of a reorganization or sale of the service. Neither party is liable for delay caused by events beyond reasonable control.
